Sentinel - Terms and Conditions

You are entering into these terms and conditions (“Terms”) with Deliverect NV, a company incorporated under the laws of Belgium, with company number 0692.623.253, with a registered office at Foreestelaan 82, 9000 Ghent, Belgium. These Terms are effective when accepted by you (by checking the acceptance box or by any other means of acceptance), and they govern your use of Sentinel. Sentinel is software-as-a-service solution that provides store performance insights of selected locations and/or competitor locations, based on key performance indicators that are monitored, measured, and assessed by Deliverect. If you are accepting these Terms on behalf of a third party, you represent and warrant that you have legal authority and capacity to bind such third party under these Terms, and that you have read, understood, and agreed to comply with these Terms. All the issues that are not specifically addressed and covered by these Terms, are governed by the provisions of Deliverect’s general terms of service, which are available at https://www.deliverect.com/en/terms-of-service (“General Terms”). For clarity, Sentinel is considered a “Deliverect Service" under the General Terms.
1. Sentinel Data.
1.1. Sentinel Data can only be used to support the ordinary operations of the selected locations and to oversee their performance. Sentinel Data may not be shared with or used for the benefit of third parties, including other restaurants or stores that are owned, licensed, franchised, or otherwise operated by you or your affiliates. Promptly upon request from Deliverect, you shall issue written certifications to demonstrate and certify compliance with this restriction. This restriction shall survive the termination of these Terms. “Sentinel Data” means any data that is made available by Deliverect in connection with Sentinel for the selected locations, or in respect of competitor locations, irrespective of the channel that is used by Deliverect to share Sentinel Data with you.
1.2. Deliverect grants you a non-exclusive, restricted, personal, non-transferable, revocable, and non-assignable license to use Sentinel Data during the term of the Terms. The license herein will automatically terminate upon expiration or termination of the Terms. You agree and acknowledge that you shall not: (a) copy, modify, duplicate, create derivative works from, frame, mirror, republish, display, transmit, translate, adapt, alter or distribute all or any portion of Sentinel Data in any form or media; (b) sell, resell, rent, lease, distribute, display, disclose or otherwise commercially exploit or otherwise make available Sentinel Data to any third party, and (c) use Sentinel Data or any part thereof to provide services to third parties, to build a competitive product or service or a product or service using similar ideas, features, functions or graphics as Sentinel or any part thereof or to copy any ideas, features, functions or graphics of Sentinel or any part thereof.
2. Commercial Terms.
2.1. Deliverect will charge you a monthly Subscription Fee for using Sentinel (“Subscription Fee”). The amount and currency of the Subscription Fee will be displayed in the onboarding process. You acknowledge and agree that the Subscription Fee is non-refundable.
2.2. Invoices for the Subscription Fee are issued upon execution of these Terms, and must be paid before the activation of the Deliverect account to use Sentinel.
2.3. The subscription period of the subscription to use Sentinel, is 30 days counted from the date these Terms are accepted by you (“Subscription Period”). The Subscription Period automatically renews for successive periods of the same length. Automatic renewal can be suspended by providing notice as set forth in the General Terms.
2.4. You must provide complete, up to date and accurate invoicing and contact information, including legal name, address, e-mail address and name and telephone number of the authorized billing administrator, VAT/ Tax ID number, and shall update this information promptly after it changes. Failing to update the billing information may result in suspension of Sentinel.
2.5. You are liable for payment of the Subscription Fee, without prior notice being required, from the maturity date of the invoice until payment in full of the invoice, to pay a default interest at a rate of 8% per annum (or the maximum permitted by the applicable law, whatever is higher), without detriment to Deliverect's right to compensation for losses, damages and costs effectively suffered as a result of the late payment.
2.6. The Subscription Fee is exclusive of any direct and indirect taxes imposed by taxing authorities, including withholding taxes, meaning that the Subscription Fee must be paid free and clear of any deductions or withholding taxes that are required by the applicable law. Withholding taxes, including the formalities thereto, are your responsibility and must be paid separately to the relevant taxing authority. You are responsible for ensuring the accuracy and timely filing of its own tax returns and for determining, applying, managing, and displaying the applicable and accurate taxes for its products and/or services.
2.7. Deliverect reserves the right to increase the Subscription Fee by providing you 30 days’ written notice. The process to increase the Subscription Fee applies to each renewal of these Terms. Your only recourse if you do not agree with the updated Subscription Fee is to terminate these Terms as set forth in the General Terms. Continued use of Sentinel will be construed as express acceptance of the modified Subscription Fee.
