Terms and Conditions Marketing & CRM Features

Your use of Chatfood’s marketing and CRM features (“Features”) is governed by these terms and conditions (“Terms”). Applicable fees for the use of the Features (“Fees”) shall be separately agreed in a quote (or the fees chosen by you through the self-serve onboarding flow, if that option is made available) issued by Deliverect NV, a company incorporated under the laws of Belgium, with company number 0692.623.253, with a registered office at Foreestelaan 82, 9000 Ghent, Belgium (“Deliverect”). Deliverect reserves the right to modify the Fees (or the Fees’ structure) by providing thirty days (30) written notice - continued use of the Features upon expiration of the notice period shall be deemed as express acceptance of the new Fees. Deliverect reserves the right to modify, suspend your access, update, enhance, or deprecate the Features without notice. By using the Features you acknowledge and agree that: (a) You have sufficient legal grounds, as required by applicable privacy laws and regulations, to process personal data from your customers in connection with the use of the Features, which includes but it is not limited to sending direct marketing messages and communications to your customers (“Marketing Materials”); (b) You are responsible for the content of the Marketing Materials; (c) The content of the Marketing Materials will follow these requirements: (i) Not violate any copyright, patent, trademark, trade name, trade secrets or any rights of any third party; (ii) Be true, accurate, complete; (iii) Not contain information that is discriminatory or promotes discrimination, that is defamatory, threatening, harassing, obscene, explicit, offensive, or otherwise objectionable, or that may be considered culturally or religiously offensive; (iv) Comply with all applicable laws and regulations (“Content Requirements”). You will indemnify, defend and hold harmless Deliverect and its respective directors, officers, employees and agents from and against any and all claims, damages, losses and expenses (including reasonable attorneys’ fees) with respect to any third party claim arising out of or related to your use of the Features and/or in regards to the Marketing Materials. Any disputes that may arise in connection with these Terms are subject to Belgian law, and will be exclusively governed by the courts of Ghent, Belgium. Deliverect’s terms of service, available at www.deliverect.com, are also applicable to your contractual relationship with Deliverect for the use of the Features.
